We acted as Solina group’s Finnish legal counsel in its acquisition of Nestlé Professional Food A/S and Puljonki Oy, which own the premium culinary brands OSCAR and Puljonki, from the Nestlé group. The transaction is expected to be finalised prior to Q2 of 2024. Solina is a leading company within the food ingredient solutions industry and is active in 19 countries across Europe and North America.

We advised Danfoss Drives Oy, part of the Danish Danfoss Group, in its acquisition of the 1500 VDC converter technology from Ampner Oy. In connection with the acquisition, Ampner’s product team developing the 1500 VDC converter technology transferred to Danfoss Drives. Danfoss Drives is a global frontrunner in the growing field of electrification with solutions in key applications such as Power-to-X, smart grids and energy storage, fast charging, and electrification of ports and vessels.

Ahlström’s strategic core sector built around forest and fibre companies. A. Ahlström is a family-owned investment company with core investments in the forest and fibre segment. Metsäkonepalvelu offers mechanical timber harvesting services in Finland and Sweden and is a Nordic market leader. The Company’s customers include large companies in the forestry industry, large private forest owners and the public sector.

We acted as the local legal advisor to OX2 in an arrangement whereby OX2 agreed with Ingka Investments, an investment company of the Swedish IKEA retail business, on the sale of a 49% stake in its three offshore wind projects in Finland. The three offshore wind projects, Halla, Laine and Tyrsky, are located in the Finnish Exclusive Economic Zone. The projects’ total annual production could amount to up to 29 TWh once operational, corresponding to more than one third of the electricity consumed in Finland in 2022. The aim is that the offshore wind projects start generating electricity by the turn of the 2030s. OX2 started developing the Halla and Laine offshore wind projects four years ago and was the first company to obtain exploration permits from the Finnish Government for its offshore wind projects. We have advised OX2 in the development and permitting of the offshore wind farm projects .

Impinj designs and sells a platform based on RAIN RFID technology that enables wireless item-to-cloud connectivity and with which it and its partners innovate Internet of Things solutions globally. Impinj is headquartered in Seattle, Washington, USA.

We advised Uponor Infra Oy in the sale of its district energy business to ISOPLUS Suomi Oy, part of ISOPLUS Group, a leading manufacturer of district heating pipes in Europe. Uponor’s district energy business had a net sales level of approximately EUR 40 million in 2022, and it included operations in Finland, Sweden, Estonia and Norway. The divestment is in line with Uponor Infra’s strategy that focuses on growing its core business.
