I advise our clients on cross-border and domestic mergers and acquisitions, including private equity and venture capital transactions. Further, I assist our clients with matters related to corporate law.

Prior to my graduation, I was a trainee in Castrén & Snellman’s M&A team, and I was appointed as an associate upon the completion of my degree. I have also worked at another leading Finnish law firm where I focused on restructuring and insolvency matters. The experience I have gained in the life cycle and growth potential of businesses as well as various industries is as an asset in understanding and advising our clients.

I graduated from the University of Helsinki in April 2023 with a master’s degree in law. During my studies, I completed a semester in Université Jean Moulin Lyon 3, France, focusing on law and business.

We are acting as legal advisor to VR-Group Plc in their strategic decision to sell their road logistics business to the investment company Mutares. This transaction supports VR’s focus on rail transport in freight traffic. The road logistics business, which generated a revenue of approximately EUR 80 million in 2023, will be transferred to a newly established company under Mutares. The business unit employs around 75 people who will transition to the new company. The completion of the transaction is subject to approval by the Finnish Competition and Consumer Authority.

We advised Metsä Group in a transaction whereby its Russian subsidiaries Metsä Svir LLC, Metsä Forest St. Petersburg LLC, Metsä Forest Podporozhye LLC and Metsä Board Rus LLC were sold to VLP Group. VLP Group is a forest industry company operating mainly in the Vologda region of Russia. In 2022, Metsä Group discontinued its Russian operations, including the Svir sawmill, wood procurement and board sales activities. As a result of this transaction, Metsä Group has fully divested its assets in Russia. Metsä Group is a group formed by Metsäliitto Cooperative and its subsidiaries that focuses on wood procurement and forest services, wood products, pulp and paperboard, and tissue and sealing papers. In 2023, the company had a turnover of EUR 6.1 billion and employed around 9 500 people.

We acted as Zendesk, Inc.’s Finnish legal counsel in its acquisition of Ultimate Enterprises Oy, an industry leading provider of service automation using AI technology. The cross-border acquisition was completed in cooperation with the transaction’s lead counsel Allen & Overy. Zendesk is a leading global technology company that provides software-as-a-service and customer experience (CX) products based in the US. The acquisition of Ultimate expands Zendesk’s AI-powered CX offerings.

We advised Ramirent Ltd and Cramo Ltd in the sale of the entire share capital of OOO Fortrent to a private investor. OOO Fortrent was previously owned by Fortrent Oy, which is a joint venture of Ramirent and Cramo. OOO Fortrent has been engaged in machine rental operations in Russia since 2013. The company has 18 locations, and its turnover in 2022 was approximately 2.2 billion roubles. Ramirent Ltd, founded in 1994, is a leading service company offering equipment rental for construction and many other industries with a wide range of high-quality rental equipment. Cramo Ltd, founded in 1954, is a full-service construction equipment rental company that also offers construction, renovation and maintenance support services.

We advised SRV Group Plc in the sale of the entire share capital of its subsidiary SRV Russia Oy to Geomare Investments Limited, a Cypriot real estate investment company. The sale is part of SRV’s efforts to exit its Russian operations. SRV, founded in 1987, is a Finnish developer and renovator in the construction sector. SRV is listed on the Helsinki Stock Exchange.

We advised Metsäliitto Cooperative in relation to a new EUR 200 million sustainability-linked revolving credit facility with a syndicate of eight banks. This new credit facility refinances the existing EUR 200 million facility signed in December 2018 and will be used for general corporate purposes. The facility has a tenor of five years and includes two one-year extension options. The pricing mechanism of the revolving credit facility is linked to two of Metsä Group’s ambitious sustainability targets: Target 1: Zero tonnes of fossil carbon dioxide emissions, Scope 1 and 2, by 2030. Target 2: Share of certified wood in wood supply 100% by 2030. ‘Incorporating sustainability criteria into our financing further demonstrates the company’s strong commitment to actions that reduce our carbon footprint and mitigate climate change,’ says Vesa-Pekka Takala, EVP, CFO of Metsä Group.

We advised CapMan Buyout in the exit of Renoa Group. Renoa Group management together with Korpi Capital and other investors have acquired the group. Renoa Group is a Finnish established expert in the building technology sector specializing in detached houses in Finland and Sweden. Renoa is a major provider of turnkey domestic water & heating, sewer system and electricity network renovations, with significant operations also in Sweden. The Group reported sales of €35 million and employed c. 300 personnel across its 10 offices in Finland and 6 in Sweden. Korpi Capital is a Finnish investment company with holdings in 29 companies.
