We advised our Client, operating in several countries and in several fields of retail business, in a business process transformation programme under which the Client will implement new business processes and procure an ERP solution with several other IT systems and services from multiple suppliers to support such new processes. Our Client’s objective for the programme is to renew its business processes and replace its old ICT infrastructure based on legacy systems with a modern, integrated ERP solution that supports the business advantages the Client is aiming to achieve. We were extensively involved in the drafting of the relevant agreements with multiple vendors, varying from software licensing agreements with standard software suppliers to system integration, process development and continuous services agreements. We also provided strategic advice to our Client in relation to the contractual and legal matters involved and assisted the Client in negotiating the relevant agreements with the chosen suppliers. In order for our Client to successfully implement the multi-vendor delivery model chosen for the programme, it was important to engage the chosen suppliers into co-operation with each other already on the contractual level.

We advised Neste in a business process transformation programme under which Neste implements new business processes and procures a new ERP solution from SAP to support the new processes. In addition to a software license agreement with SAP, Neste entered into a systems integration agreement with IBM, with the latter acting as the main implementation partner. We were extensively involved in the procurement process from the RFP phase to negotiating and drafting all the relevant agreements, and provided strategic advice to Neste in relation to the contractual and legal matters involved. Neste Corporation is a forerunner in oil refining and renewable solutions offering cleaner traffic and energy products. Neste operates in more than 10 countries and has 5,000 employees. In 2014, Neste’s revenue amounted to EUR 15 billion. Neste shares are listed on NASDAQ Helsinki.

We have been representing Epic Systems Corporation, an industry-leading US electronic health record software vendor, in the public procurement of a new client and patient data system by Apotti Oy. This procurement is the largest ever IT procurement in Finland. Apotti Oy is a cooperative procurement body for the local governments of Helsinki, Vantaa, Kirkkonummi, Kauniainen and the regional-level HUS Medical District. We have been extensively involved in the negotiation and drafting of all procurement agreements, and have provided public procurement, regulatory, corporate, employment, IP and other legal advice in connection with the program.
