We successfully represented a Finnish wellbeing services organisation in a criminal matter where the defendant was a former employee of the organisation. The employee had fraudulently misrepresented their qualifications, gaining unlawful economic benefit and causing economic loss to the organisation. The employee was sentenced to conditional imprisonment for two separate offences and to pay damages to the organisation.

The clients of its ambulance services are public actors and medical institutions. The company has also lately become known with COVID-19. The company’s turnover in 2020 was approximately EUR 20 million and it employs 800 people. Stella Kotipalvelut Oy is a company specialising in home care services, with a turnover of EUR 24 million in 2020. The company employs 1,600 people, of whom 520 are permanent employees.

We assisted OP Financial Group in the sale of Pohjola Hospital Ltd, which is owned by Pohjola Insurance Ltd, to Pihlajalinna Terveys Ltd, which is part of Pihlajalinna Group. As part of the deal, Pohjola Insurance and Pihlajalinna will sign a long-term cooperation agreement on the provision of health services for cus-tomers of Pohjola Insurance. Pohjola Hospital is a hospital chain that specialises in orthopaedic care and the sports clinic services and offers treatment for accidents, musculoskeletal conditions and injuries. Pohjola Hospital operates in five cities in Finland and is one of Finland’s largest operators in orthopaedic day surgery. OP Financial Group is Finland’s largest financial services group, with two million owner-customers and over 12,000 employees. OP Financial Group consists of approximately 137 OP cooperative banks, their central cooperative OP Cooperative, and the latter’s subsidiaries and affiliates. Pihlajalinna is one of Finland’s leading providers of social and healthcare services. The company’s customers include private individuals, businesses, companies and public sector entities, such as municipalities and joint municipal authorities. Pihlajalinna offers high quality social, health and wellbeing services at private clinics, hospitals, dental clinics, fitness centres and housing services across Finland. The transaction requires the approval of the Finnish Competition and Consumer Authority. We assisted the Association of Finnish Pharmacists (AFP) in strengthening its holding in Farmania Oy through a share transaction. As a result of the transaction, AFP’s holding in Farmania increased to 75%. At the same time, Farmania will become part of the AFP’s group, which also includes Medifon Oy, a pharmaceutical and healthcare wholesaler, Pharmadata Oy, which produces information systems and telecommunications services for pharmacies, and the communications company PharmaPress Oy. The Association of Finnish Pharmacists is an association representing private pharmacies that develops ethically and professionally high-quality pharmacy activities as part of healthcare and provides services that support pharmacy activities to its members. Farmania is a fast-growing company providing human resources services to pharmacies and the pharmaceutical industry. At the heart of Farmania’s operations is the delivery of pharmacist workforce to pharmacies. In 2020, Farmania had a total of 170 part-time and full-time employees. In recent years, Farmania has grown into a nationwide pharmacy service organisation.
