I am a business-oriented lawyer with extensive industry knowledge of ICT and various commercial arrangements. I head our firm’s technology agreement practice and co-head our Data & Technology practice group.

I regularly advise domestic and international companies on a wide range of contentious and non-contentious technology and outsourcing related matters, including the procurement and delivery of ICT solutions, cloud, as-a-service offerings, licensing, and R&D. I have also served as an advisor in several technology-driven M&A transactions and capital investments.

Prior to joining Castrén & Snellman, I was a Partner at another Finnish law firm. Prior to that, I served as the Lead Counsel for a business division at a leading Nordic ICT corporation, where I was responsible for its legal matters. My in-house background has instilled a results-first approach to my work.

We advised UK-based investment company Downing in its acquisition of the entire share capital of Tornionlaakson Voima Oy. Tornionlaakson Voima owns three hydropower plants in the Tengeliönjoki river system – the Portimokoski power plants in Ylitornio, the Jolmankoski power plants in Raanujärvi and the Kaaranneskoski power plants in Sirkkakoski. The power plants produce a total of approx. 45 gigawatt-hours of electricity per year. Tornionlaakson Voima’s daily operations will continue normally, and the transaction will not affect customers. The consummation of the transaction is subject to the approval of the Ministry of Economic Affairs and Employment. Downing has over 35 years’ experience in providing a wide range of investment solutions to the needs of institutional investors, advisers and retail investors. The company manages over £2 billion in assets in both the private and public markets and its current hydro power portfolio includes approx. 50 hydro power plants in the Nordics.

We acted as Finnish counsel to SuperOffice AS, backed by Axcel, in its acquisition of Lyyti Oy from Finnish private equity firm Vaaka Partners and other sellers. Lyyti is a leading event management software company for physical, digital and hybrid events with a strong customer base in Finland, Sweden and France. SuperOffice is a leading provider of customer relationship management (CRM) software for small and medium-sized businesses across Northern Europe. Axcel is a Nordic private equity firm with a focus on technology, business services and industrials, healthcare, and consumer sectors.

We advised Lantmännen ek för in its contemplated acquisition of Leipurin from Aspo Plc. Lantmännen is an agricultural cooperative and Northern Europe’s leader in agriculture, machinery, bioenergy and food products. Lantmännen is owned by 17,000 Swedish farmers and has 12,000 employees in over 20 countries. Leipurin is a leading Nordic supplier of bakery ingredients, equipment, and expert services to professional bakeries, confectioneries, and food manufacturers. The company operates across Finland, Sweden, and the Baltic countries with subsidiaries located in the aforementioned countries, providing comprehensive solutions to the baking industry. The closing of the transaction remains subject to regulatory approvals.

We assisted Oomi Oy in its expansion into the mobile telecommunications market with the launch of Oomi Mobiili, a new MVNO brand. Our work covered the preceding due diligence process as well as structuring and negotiating key partner agreements, laying a solid foundation for Oomi’s entry into the new market. Oomi Mobiili will operate as a virtual mobile network operator, offering customers the option to purchase a mobile subscription together with their electricity contract. The phased launch is set to begin in autumn 2025, with nationwide availability targeted for early 2026.

We advised Oy Finnsusp Ab in the sale of its eyeglass lens business to IXI Optics Oy, subsidiary of a Finnish technology company IXI Eyewear. Finnsusp has been the only Finnish company manufacturing eyeglass lenses for over 35 years. Following the sale of its business, the company will focus on its international core business, specifically on the development and manufacturing of dry eye products and contact lens care solutions. Oy Finnsusp Ab (Piiloset) is a Finnish family-owned medical device manufacturer founded in 1978. In addition to Finland, the company’s products are sold in more than 35 countries in Europe, South and North America, the Middle East, and Africa. IXI Eyewear Oy is a Finnish technology startup that develops dynamic smart glasses based on liquid crystal technology.

We are proud to have provided legal assistance to PwC in the successful public tendering process for the comprehensive renewal of Kela’s benefits processing systems. Kela is the Social Insurance Institution of Finland, and this project is a significant cornerstone in modernising Finland’s social security infrastructure. PwC was selected as Kela’s strategic partner to implement a comprehensive overhaul of the benefits processing systems, digital services, customer relationship management, and information exchange platforms. The project aims to meet the demands of the future digital environment and enhance customer experience through the adoption of Salesforce technology. The new systems are expected to simplify benefit processes, enhance user experience for both customers, employees and other stakeholders, and ensure adaptability to future legislative changes. Castrén & Snellman provided strategic legal support to PwC throughout its successful bidding process, which was carried out through a competitive negotiated procedure. We extend our warmest congratulations to PwC for their successful bid and look forward to seeing the positive impact of this project on Finland’s social security system.

We advised the Savings Banks Group on an arrangement whereby the shares in Sp-Henkivakuutus Oy were sold to Henki-Fennia and at the same time the parties agreed on a long-term distribution cooperation for insurance savings and loan protection products. The closing of the transaction remains subject to regulatory approvals. Sb Life Insurance is a domestic life insurance company, established in 2007, offering insurance savings and risk insurance products to private customers and companies. The Savings Banks and Oma Säästöpankki Oyj act as agents for Sp-Life Insurance. Henki-Fennia is a subsidiary of Keskinäinen Vakuutusyhtiö Fennia, specialising in voluntary life, pension and savings insurance.

We advised WithSecure Corporation in the sale of its cybersecurity consulting business to Neqst. WithSecure is a global cyber security company (listed on NASDAQ OMX Helsinki). Neqst is a Swedish investment firm, focusing on technology companies. The closing of the transaction remains subject to customary conditions and regulatory approvals.
