We acted as Finnish counsel to RVRC Holding AB (RevolutionRace) in its acquisition of 90.1% of the shares in ICANIWILL AB (ICIW). Mannheimer Swartling (Sweden) acted as lead counsel for RevolutionRace. ICIW, founded in Sweden in 2012, is a Swedish training apparel brand.  RevolutionRace is a fast-growing Swedish outdoor brand offering multifunctional products to people with an active lifestyle. The company operates with a digital D2C business model reaching customers in approximately 40 countries. The company is listed on Nasdaq Stockholm since 2021.

We advised the shareholders of Suomen Autohuolto Oy in connection with the sale of the company’s entire share capital, to SAKA Finland Group Oy. Suomen Autohuolto Group is one of Finland’s largest companies specializing in brand-specific automotive maintenance and has locations in Oulu, Tampere, and from July, also in Järvenpää. The transaction is subject to final approval by the Finnish Competition and Consumer Authority (KKV).

We advised Jensen-Group with its acquisition of Oy Vestek Ab, the long-standing distributor of Jensen solutions in Finland. The strategic step underlines Jensen-Group’s long-term commitment to the Nordic region and its ambition to further expand sustainable and future-oriented laundry automation solutions in Finland. Jensen-Group, listed on Euronext Brussels, is a global leader in heavy‑duty laundry technology, known for designing and manufacturing industrial laundry machines, systems, and turnkey automation solutions. Oy Vestek Ab is a Finnish import company founded in 1961. The company’s main activity is to import supplies and machinery, including providing products and services for the health care and laundry industries, from Europe and the USA and to act as a wholesale dealer on the Finnish market.

Life Finland Oy, a retailer of natural products, other health-related products and cosmetics, filed for bankruptcy on its own initiative in June 2025, and our attorney, counsel Elina Pesonen was appointed administrator of the bankruptcy estate. Life Finland Oy was part of the international Life Group, and its parent company Life Europe AB was declared bankrupt in Sweden in June 2025. When declared bankrupt, Life Finland Oy had over 30 operational stores and almost 170 employees across Finland. In addition to the premises of the operational stores, the company had several other leased premises, such as retail premises it was vacating as well as office and warehouse spaces. The bankruptcy estate organised clearance sales in all of the company’s stores. The shutdown of the stores and the clearance sales were efficiently carried out in approximately two weeks in cooperation with the company’s country manager, regional managers and sales staff. The clearance sales yielded a significant liquidation result, and consumers bought nearly the entire inventory. The administration of the bankruptcy estate has required expertise in many areas. The proceedings have dealt with specialised issues such as cash pooling arrangements, intellectual property, franchising agreements, employment relationships and consumer creditors. In addition, the proceedings are notably international, as the estate administrator has organised the shutdown of operations and the liquidation of assets in close cooperation with the estate administrators of the Swedish Group companies. The cooperation has included, among other things, exploring opportunities for selling the business, the sale of intangible rights and the coordination of intra-group agreements.
