Tesi – Investment in Sisu Auto

We advised Tesi (Finnish Industry Investment Ltd) in its investment in the heavy duty vehicles company Oy Sisu Auto Ab. With this investment, Tesi became an owner in the company with a share of 24.4 per cent. Sisu Auto is a pioneer in the Nordic market in the development of heavy duty vehicles. Sisu’s core competences are in the product development and production of trucks and military vehicles. Tesi is a state-owned, market-driven investment company that invests in venture capital and private equity funds and directly in Finnish startups and growth companies. The investments managed by Tesi total 2.1 billion euros.

OP Finland Infrastructure – Investment in Cactos Fleet Finland

We acted as the legal advisor to OP Finland Infrastructure LP in its investment in Cactos Fleet Finland Ky. Cactos Fleet Finland invests in smart electricity storage systems in Finland. OP Finland Infrastructure is a fund investing in Finnish infrastructure. The fund is managed by OP Financial Group. Cactos Fleet Finland primarily invests in electricity storage systems installed in real estate properties. In addition to their grid-related tasks, these systems can level out peaks in the property’s electricity consumption and provide back-up power.

We acted as legal advisor to OP Finland Infrastructure LP in its investment in Lounea, a Finnish optical fibre operator. The EUR 50 million convertible loan was made available to Lounea’s operative subsidiary Lounea Net Oy for investments supporting the company’s strategic growth. The aim of the investments is to increase fibre network coverage in Finland and develop the Finnish digital infrastructure. Lounea is a Finnish optical fibre operator whose business consists of telecommunications infrastructure and ICT solutions. OP Finland Infrastructure is a fund investing in Finnish infrastructure. Newil&Bau – Acquisition of the business of Auratum Asunnot and equity funding

We served as the legal advisor to Newil and Bau Oy in its acquisition of the business of Auratum Asunnot, which is part of the Rausanne Group and specialises in the construction of new high-quality homes. The Finnish Climate Fund – Investments in growth companies – towards a carbon-neutral society

We have advised the Finnish Climate Fund as it has invested in Finnish projects that, for example, support the green transition of various industries, leading towards a carbon-neutral society. The Finnish Climate Fund is a Finnish state-owned special-assignment company. Its operations focus on combating climate change, boosting low-carbon industry and promoting digitalisation. The Climate Fund invests in large-scale projects in which the fund’s investment is crucial to enable the project’s realisation in the first place, on a larger scale or earlier than with funding from elsewhere. Investment in Aeromon that specialises in emissions measurement and mapping We advised the Finnish Climate Fund in its investment in Aeromon Oy. The funding will be used to further advance technology relating to software systems and measuring capacity. Aeromon’s technology enables the location and measurement of fugitive emissions generated by industrial plants and landfills almost in real time and in a mobile way by using unmanned aerial vehicles. The company has developed the measuring methods and equipment as well as the algorithms required for processing the signals. For their part, Aeromon’s solutions promote development towards zero-emission society. Investment in Joensuu Biocoal We advised the Finnish Climate Fund in its investment in Joensuu Biocoal Oy. Joensuu Biocoal will build a torrefied biomass production plant, which is the first commercial-scale production plant of its kind in Finland. The torrefied biomass produced by Joensuu Biocoal will primarily replace the use of coal in industrial processes in the cement and steel industries, which still use a lot of coal. For its part, building the plant accelerates the transition away from coal in process industries and helps reduce the carbon dioxide emissions from industry in the medium term. Investment in QHeat that specialises in geothermal heat generation We advised the Finnish Climate Fund in investment in Quantitative Heat Oy (QHeat). The funding will be principally allocated to the purchase of new, more efficient drill equipment for drilling medium-deep heat wells. Geothermal heating is part of the solution for transitioning away from the use of fossil fuels for heating as heat wells generate heat energy-efficiently and without combustion. Medium-deep heat wells can also be used for cooling real estates, in which case they can store energy to even out seasonal variations. Geothermal heat production has a great deal of potential for climate action in applications such as low-emissions heating solutions. Investment in Finn Recycling We advised the Finnish Climate Fund in its investment in Finn Recycling Oy, developer of a regeneration solution enabling the reuse of waste sand generated by metal foundries. The funding’s purpose is to accelerate the deployment of reclamation equipment and the company’s entry into the international market. The annual global consumption of sand products is 40–50 billion tonnes. Particularly foundry processes in the metal industry generate waste sand tens of millions of tonnes each year. Finn Recycling’s solution extends the service life of foundry sand, reducing the use of virgin sand and the amount of waste sand and greenhouse gas emissions generated by foundry processes.

We advised Finnish Industry Investment Ltd (Tesi) in their joint investment with Lifeline Ventures in TILT Biotherapeutics Ltd, a biotechnology company developing cancer immunotherapies. The financing round was EUR 10 million in total. TILT Biotherapeutics is a clinical-stage biotechnology company. It develops cancer therapeutics based on its proprietary oncolytic adenoviruses armed with molecules including cytokines that can stimulate T cell responses. Finnish Industry Investment Tesi is a state-owned investment company that wants to raise Finland to the front ranks of transformative economic growth by investing in funds and directly in companies. Intera Partners – Buy-out of HögforsGST

We assisted Intera Partners in their buy-out acquisition of a heating and cooling system group HögforsGST. There is an increasing demand for energy efficient and smart heating and cooling solutions, since most of the energy used in buildings is consumed for heating which is one of the greatest sources of greenhouse gas emissions as well as one of the most significant expenditures related to properties. Intera Partners is a Finnish growth-oriented private equity firm. Intera was founded in 2007 and is owned by its employees. Intera manages three active funds with a total capital of €785 million. Fund investors include leading Nordic and European institutional investors. HögforsGST is a Finnish company that specialises in the development, manufacture, sale and marketing of high-quality heating and cooling systems and is the leading heating substations supplier in the Nordic countries. The company’s objective is to reduce energy losses in properties while efficiently bringing down living costs and greenhouse gas emissions derived from heating and cooling. HögforsGST has a comprehensive sales network throughout Finland and subsidiaries in Sweden and Norway.

Finnish Climate Fund – Investments in Hydrogen and Circular Economy Growth Companies

We advised the Finnish Climate Fund in three separate financing arrangements in the autumn of 2021. In these arrangements, the Finnish Climate Fund invested a total of EUR 16.5 million in Finnish growth companies with solutions that have significant emissions reduction potential in the hydrogen and circular economies over the coming decades. Aurelia Turbines The Finnish Climate Fund has decided on a EUR 5 million capital loan to Aurelia Turbines Oy to speed up the deployment of more efficient industrial gas turbines. For the first time, the Climate Fund’s funding includes a sustainability incentive. Aurelia Turbines makes more efficient gas turbines for industrial needs. These gas turbines have been designed to flexibly use various degrees of hydrogen and other energy sources. Hydrogen will play an important role in the transition towards a low-carbon society. The hydrogen economy will be built on a value chain of hydrogen production, storage, transport and utilisation. Aurelia Turbines’ solution is estimated to have a cumulative emissions reduction potential of around 1.5 Mt CO2e over a ten-year period. In addition to emissions reduction, the Finnish Climate Fund’s financing will support the development of the hydrogen cluster in Finland. Betolar The Climate Fund has granted a EUR 7 million capital loan to materials technology company Betolar Oyj. The investment—the Climate Fund’s first in a digital solution—will be allocated to a marketplace with major emissions reduction potential. Cement production is one of the greatest emission sources caused by human activity, accounting for roughly 7% of global carbon dioxide emissions annually. The significant emissions reduction potential of Betolar’s solution is based on replacing virgin raw materials with existing industrial side streams, which could reduce emissions caused by the raw materials of concrete by up to 80% compared to traditional concrete products The digital platform is intended as a digital marketplace for Betolar’s solution as well as a meeting place for side stream suppliers and concrete manufacturers. This digital marketplace can enable significant emissions reductions to be realised sooner and on a larger scale. Magsort The Finnish Climate Fund granted a EUR 4.5 million capital loan to Magsort Oy’s circular economy solution to utilise steel industry side streams. Steel and concrete production are significant sources of emissions. With Magsort’s solution, almost all metal can be recovered from waste slag—and in the future the remaining slag could even be ground into cement. The more efficient utilisation of steel slag in industry not only creates considerable export potential but also major cumulative emissions reduction potential over the next decade, as much as 7.5 MtCO2e. Finnish Climate Fund – Investment in Green Hydrogen Company P2X Solutions

We advised the Finnish Climate Fund in its investment in P2X Solutions Oy, a green hydrogen and Power-to-X technology company. P2X Solutions will construct a 20 MW green hydrogen production plant, which will run on electricity produced by renewable energy and produce green hydrogen. The Finnish Climate Fund’s investment amounted to EUR 10 million. P2X will refine part of the green hydrogen further utilising Power-to-X technology. It will implement circular economy solutions and capture carbon dioxide emissions from a Finnish industrial plant. P2X will produce synthetic biofuel from the green hydrogen and caught carbon dioxide, thereby supporting the development of emission-free society. The Finnish Climate Fund is a Finnish state-owned special-assignment company. Its operations focus on combating climate change, boosting low-carbon industry and promoting digitalisation. We advised Aktia Bank Plc and Alexander Corporate Finance Oy (ACF) in an arrangement that will result in Aktia owning 20% of ACF’s shares. The share subscription is scheduled to take place in January 2022 and is conditional on the approval of the Financial Supervisory Authority. Following the arrangement, the new name of Alexander Corporate Finance will be Aktia Alexander Corporate Finance Oy. Finnish Climate Fund – Investment in Heat Storage Company Elstor

We advised the Finnish Climate Fund when it invested in Elstor Oy to speed up the rollout of their energy solution, particularly to small- and medium-sized industrial companies. Elstor’s heat storage solution can replace fossil fuels in the production of heat and steam for industrial processes and energy generation. Elstor has developed a solution that stores electricity as heat energy, which is then discharged as heat or steam as required for the customer’s processes. The company currently has two pilot units: one for heat and one for steam production. In Finland, the market potential of the solution is nearly half a million tonnes of reduced emissions, which accounts for approximately one percent of Finland’s total emissions. Husqvarna – Investment in Gamma Technologies

We advised Husqvarna Group in their corporate venture capital investment in Gamma Technologies, a Luxembourg-based augmented reality technology company. Gamma is disrupting the construction industry by bringing 3D Building Information Modeling (BIM) models with interactive features intuitively to the construction site. Gamma utilises its augmented reality technology to overlay BIM models on contractors’ mobile handsets displaying the otherwise unseen infrastructure. Gamma’s BIM/AR software is used to guide operators on where to cut, drill, etc., reducing both planning time and the risk of performing work in the wrong place, which is very costly to customers. Husqvarna Group is a global leading producer of outdoor power products and innovative solutions for forest, park and garden care. Products include chainsaws, trimmers, robotic lawn mowers and ride-on lawn mowers. The Group is also the European leader in garden watering products and a global leader in cutting equipment and diamond tools for the construction and stone industries. We advised the Finnish Climate Fund in its first investment, in which it granted a EUR 10 million capital loan for Solar Foods to build a new demonstration factory in Finland. Solar Foods’ factory will be globally the first industrial scale facility to produce protein from carbon dioxide and electricity. Born out of joint research by VTT Technical Research Centre of Finland and LUT University, the innovation by Solar Foods enables low-emissions protein production utilising renewable energy. Tesi and C&S – Together Towards More Sustainable Investing

Tesi expects sustainability from its investment targets. Castrén & Snellman helps Tesi achieve its sustainability goals. It is increasingly important for law firms to be able to support their clients’ sustainability work. One good example is the long-term collaboration between Tesi, or Finnish Industry Investment Ltd, and Castrén & Snellman, in which sustainability has grown in significance year by year. ‘We expect our partners to help us achieve our sustainability goals. To do that, they need expertise in and insight into sustainability issues and the developing regulatory environment’, said Heli Kerminen , a director at Tesi. Kerminen is responsible for developing the sustainability and impact of Tesi’s investment activities. Among other projects, C&S advised Tesi when it participated in Swappie’s 35-million-euro investment round last year. Swappie refurbishes and sells recycled phones. Its goal is to operate in 18 countries by 2023. Investments Totalling 250 Million Euros in 2020 Tesi is a Finnish is a state-owned investment company investing in venture capital and private equity funds and directly in growth companies. In 2020, Tesi invested a total of 250 million euros. Investments into nine private equity funds made up 82 million of that sum, and 39 million euros were invested into 20 growth companies. In addition, Tesi gave a 65-million-euro investment commitment to the KRR IV fund-of-funds, which it manages, and invested a total of 63 million euros into 24 companies through its COVID-19 stabilisation programme and Venture Bridge programme. Based on the work Tesi has done with the Finnish Innovation Fund Sitra, Tesi created a circular economy programme, which is an investment programme focused on responsible and sustainable growth. We acted as Finnish counsel to international investors Coatue and DST Global in their investment in Wolt Enterprises Oy, a Helsinki-based global technology company operating in the food delivery industry. In this financing round led by ICONIQ Growth, Wolt raised a total of EUR 440 million. The financing round aimed to further expand Wolt’s rapidly growing retail delivery service. Wolt’s other new investors include KKR, Tiger Global, Prosus and EQT Growth. The existing investors 83North, Highland Europe, Goldman Sachs Growth Equity, EQT Ventures and Vintage Investment Partners also participated in the round. Finnish Industry Investment – Investment in Varjo

We advised Finnish Industry Investment Tesi in their investment in the virtual/mixed reality company Varjo Technologies Oy. Varjo, the leader in industrial-grade VR/XR hardware and software, closed a round of Series C funding worth 46 million euros. Tesi, NordicNinja, and Swisscanto Invest by Zürcher Kantonalbank are among the new investors contributing to the round, in addition to follow-on investment participation from existing investors including Lifeline Ventures, Atomico, EQT Ventures and Volvo Cars Tech Fund. Based in Helsinki, Varjo is creating the world’s most advanced VR/XR hardware and software for industrial use, merging the real and virtual worlds seamlessly together in human-eye resolution. We advised Voima Ventures in their investment in indoor positioning system company Iiwari Tracking Solutions Oy. We advised Hadean Ventures as the lead investor in the financing round of Finnish health tech company Neuro Event Labs Oy. Neuro Event Labs Oy provides an AI-powered diagnostic platform for epilepsy. The product, ‘Nelli’, enables better diagnosing and monitoring of epilepsy patients by analysing video and audio recordings from a patient’s bedside with computer vision. The platform identifies the type of the seizure and suggests personalised treatment. Hadean Ventures is a life science fund manager with offices in Oslo and Stockholm that invests in life science companies across Europe with a particular focus on the Nordic region. The team at Hadean Ventures combines in-depth knowledge in both medicine and life sciences as well as venture capital investments.

Peptonic Medical – Acquisition of Majority Stake in Lune Group

We advised Peptonic Medical AB (publ), a Swedish medical development company, in the acquisition of a majority stake in Lune Group Oy Ltd, a Finnish company that sells the Lunette menstrual cup. The acquisition allows Peptonic to grow and expand its product portfolio by enabling the merger of two strong women’s health and selfcare brands with several synergies. In addition, the acquisition gives Peptonic access to a global distribution network that is already up and running, including in the United States. Peptonic is listed on the Spotlight Stock Market in Stockholm, Sweden. Lune Group was founded in 2005 by CEO Heli Kurjanen and has earned its place as a top global menstrual cup company through its continued focus on quality, safety, sustainability and inclusivity. Lune Group Oy Ltd has a subsidiary in North America. The completion of the acquisition is subject to certain customary conditions and is expected to occur during June 2020.

Wolt – Two Financing Rounds Totalling EUR 137 Million

We assisted Wolt Enterprises Oy in two financing rounds, in which Wolt raised a total of EUR 137 million of venture capital investments from international and Finnish investors. In the most recent financing round, led by ICONIQ Capital, Wolt secured investments of EUR 110 million. In a previous round led by 83North, closed in 2018, the company raised EUR 27 million. Wolt is a Finnish technology company operating in the food delivery industry. It is currently present in fifteen countries. Over its lifetime, Wolt has raised EUR 150 million of funding.

Häggblom & Partners – Advising Forestum’s Principal Owners in Sale of Shares to Svenska Cellulosa Aktiebolaget

We advised Häggblom & Partners Oy, a financial advisory firm, when it assisted the principal owners of Forestum Group AB in the sale of their shares to Svenska Cellulosa Aktiebolaget (SCA). Listed on Nasdaq Stockholm, SCA is Europe’s largest private forest owner. The acquisition strengthens its operations in the Baltic region. Forestum Group AB is a Swedish company that owns, through its Estonian subsidiary, land and forest assets in Estonia, totalling approximately 10,300 hectares. The purchase price for the entire company was EUR 39 million on a debt-free basis. The principal owners held 93% of Forestum Group’s stock.

We advised Wärtsilä in their investment in Soletair Power Oy, a Finland-based startup company operating in the field of Power-to-X. Silver Planet – Sale of Silver Planet to Gofore

We acted as the legal advisor to the sellers and Silver Planet Oy, a digital transformation consulting company, in its sale process. The share capital of the company was acquired by Gofore Plc, an international digitalisation specialist. The entire share capital of Silver Planet Oy was transferred to Gofore on 14 February 2019, and all Silver Planet shareholders were made owners of Gofore. The purchase price was EUR 14.3 million. Gofore decided on a share issue as part of the purchase price. Silver Planet is a digital transformation consulting company with a history of rapid growth. Its clientele consists of large cities, public sector organisations and companies undergoing digital transformation. Gofore Plc is a Finnish digitalisation specialist with international growth plans. Gofore is made up of more than 500 people across Finland, Germany, Spain, the United Kingdom and Estonia. Gofore uses consulting, coding and design as tools to incite positive change. In 2018, Gofore’s net sales were EUR 50.6 million. Gofore Plc’s shares are quoted in the First North Finland market administered by Nasdaq Helsinki Ltd.

Finnish Industry Investment – Investment in Nosto Solutions

We advised Industry Investment (Tesi) in their investment in ecommerce personalisation company Nosto Solutions Oy. The funding round totalled USD 7.4 million and was also participated in by Open Ocean and Idinvest. Nosto provides ecommerce personalisation and artificial intelligence (AI) tools for retail. Nosto’s innovative solutions have fuelled a three-year growth rate of 260 percent in North America driven by deep relationships with 2,500 of the world’s fastest growing retail brands. The company’s momentum is driven by its patented technology, predictive AI-algorithms and successful expansion across Europe and North America. To date, Nosto has raised more than USD 25 million from investors to further expand its leadership in artificial intelligence and deep learning for retail.

We acted as the legal advisor to the sellers and Netcontrol Group in the structured sale process of Netcontrol. The company was acquired by Procuritas, a Swedish Private Equity house whose Procuritas Capital Investors VI fund purchased the majority stake in Netcontrol. Netcontrol is a well-reputed provider of solutions, systems and services for real-time monitoring, control and automation of utility networks with a leading position in the Nordics and a broad international presence. Netcontrol, founded 1991, is a technology provider of intelligent utility network automation solutions. The company is headquartered in Helsinki, Finland, with offices in Sweden, Norway and the UK. Customers include electricity companies, renewable energy producers, electric railways, energy intensive industry plants, and district heating plants and pumping stations. In addition to RealMachinery, a part of the machinery house is Dae-Tek Ltd. In 2017, the net sales of new RealMachinery Group were EUR 65 million and it currently employs approximately 100 persons in total. Hengan International Group – Investment in Finnpulp

We represented Hengan International Group Co., Ltd, a Hong Kong listed company and China’s most significant tissue and hygiene product manufacturer, in its investment in Finnpulp. With the investment, Hengan became a large shareholder of Finnpulp. Finnpulp is planning to build the world’s largest softwood pulp mill in Kuopio, Finland. The total amount of the investment is estimated to be 1.4 billion euros. The basis for all Finnpulp operations is to become the most efficient and modern producer of softwood pulp in the world. The new Finnpulp mill will be the most ecologically sound pulp mill in the industry. According to plans, the annual production capacity will be 1.2 million tons per year. Hengan International Group, listed in the Stock Exchange of Hong Kong, is a manufacturer of pulp-based tissue and personal hygiene products. Group’s annual revenue is above 2.5 billion euros and it employs around 21,000 people. Hengan is within China’s top ten best known consumer brands and a significant user of long-fiber softwood pulp as raw-material for its about 1.42 million tons annual production capacity of tissue products.
