We served as the legal advisor to Newil and Bau Oy in its acquisition of the business of Auratum Asunnot, which is part of the Rausanne Group and specialises in the construction of new high-quality homes. With the equity investment that was carried out in connection with the transaction, Rausanne Oy, the parent company of the Rausanne Group, became a 15% shareholder in Newil&Bau.

We acted as legal adviser to GEA Group AG in a directed share issue carried out by Solar Foods Oyj, in which GEA Finland Oy, a wholly owned subsidiary of GEA Group AG, acted as a cornerstone investor with an equity investment of EUR 8 million. Solar Foods raised a total of approximately EUR 25 million in gross proceeds from the share issue to accelerate the implementation of its new production facility Factory 02.  In connection with the share issue, GEA Liquid Technologies GmbH and Solar Foods signed an exclusivity agreement under which Solar Foods appoints GEA Liquid Technologies as its exclusive process equipment vendor for the supply, design, construction and delivery of the process equipment for the Factory 02. We advised the shareholders in Puhdistamo – Real Foods Oy in the sale of all shares in Puhdistamo to PK Consumer Health. Puhdistamo is a leading Nordic wellbeing company, best known for its high-quality supplements, sports nutrition products and, functional beverages. Puhdistamo employs 120 employees in Finland and Sweden. PK Consumer Health is owned by Avista Healthcare Partners and Damier Group. The sellers will make a reinvestment into PK Consumer Health as part of the transaction. Completion is subject to customary closing conditions.
