We represented Vapaus Group, a leading provider of employee bicycle benefit services, in its cross-border acquisition of Azfalte, a French corporate bicycle solutions company. The acquisition accelerates Vapaus Group’s international expansion and strengthens its position in sustainable mobility by combining Vapaus’s digital platform and circular-economy capabilities with Azfalte’s established enterprise programs and partner network in France. The transaction advances Vapaus’s growth strategy and increases its ability to help employers meet well-being and sustainability goals in one of Europe’s most dynamic cycling markets. Vapaus Group is at the forefront of sustainable mobility services and has been a pioneer in the employee bicycle benefit sector since 2020 with a vision to become the leading bicycle benefit service in Europe. Vapaus has automated the employee bicycle process through its technology platform, covering payroll, invoicing, logistics, insurance, and financing. Azfalte, founded in 2020, is a pioneer of corporate cycling in France, optimizing financing, tailored bikes, insurance, maintenance, assistance, training, and carbon tracking for the benefit of its clients.

We advised the shareholders of ParkMan Oy in the arrangement whereby Norwegian investment company Hawk Infinity and Armada Credit Partners invested in ParkMan enabling ParkMan’s accelerated growth. ParkMan is a parking solutions and management software company that provides a digital parking application for consumers and businesses operating in Finland, Denmark, Lithuania, and Estonia. ParkMan is based in Helsinki, Finland. Hawk Infinity, based in Oslo, Norway, is one of the largest and fastest growing Nordic software compounders with a long-term, growth-oriented investment approach. Hawk Infinity focuses on investing in founder-led companies and scaling them through add-on acquisitions and organic growth, while preserving existing management and culture. Since its establishment in 2008, Hawk Infinity has grown into a multi-vertical SaaS group by acquiring and scaling niche software businesses across Europe.

We advised on the issuance of a EUR 10 million equity-classified convertible hybrid bond by Boreo Plc to the Norwegian insurance company Protector Forsikring ASA. The annual coupon interest on the bond is a fixed 4 percent until the reset date on 24 June 2030, after which the interest rate increases to 14 percent. The bondholders have the right to convert the principal amount into Boreo shares at a price of EUR 19 per share during a four-year period following the issuance. The bond is not intended to be admitted to trading on a stock exchange or any other trading venue. It has no specified maturity date, and Boreo has the right to redeem it for the first time after four years from the issuance date. ‘We are very pleased to have completed the transaction, and with the confidence Protector has shown in the company. The arrangement supports the execution of our acquisition-driven growth strategy, strengthens the company’s financial position, and lowers financing costs,’ says Kari Nerg, CEO of Boreo. OP Corporate Bank plc acts as the lead manager for the issuance of the convertible hybrid bond. Castrén & Snellman Attorneys Ltd serves as legal advisor to the transaction, and Legal Folks Ltd acts as Boreo’s legal advisor.
