I advise our clients on assignments related to domestic and cross-border mergers and acquisitions. I also have experience in advising on corporate law and financial regulation related matters.

I joined Castrén & Snellman’s M&A team in August 2022. Prior to joining Castrén & Snellman, I worked at another business law firm in Helsinki, assisting in assignments related to mergers and acquisitions as well as capital markets transactions.

I have a Master of Laws degree from the University of Eastern Finland. During my studies, I also spent one semester studying international law at the University of Valencia in Spain.

HANZA – Acquisition of Milectria
We acted as Finnish legal advisor to HANZA AB in connection with its acquisition of the contract manufacturing division of Milectria, a group of companies specialising in electrical systems for the defence industry.  The transaction comprises 100% of the shares in Milectria Oy (Finland), Milectria OÜ (Estonia), and the real estate company Kiinteistö Oy Kanungin Karhu. The transaction is expected to close in September 2025, subject to customary closing conditions, including regulatory approvals.  Founded in 2008, HANZA is a Swedish mechanical engineering and electronics contract manufacturing company listed on the Nasdaq Stockholm main list. The company operating in seven countries currently has annual sales of approximately SEK 6 billion and approximately 3,100 employees. Milectria is a Finnish contract manufacturer of electrical systems for the defence industry.

Ugly Duckling Ventures – Investment in Skyfora
We represented Ugly Duckling Ventures in the EUR 4 million seed funding round of Skyfora. The investment will support the deployment of Skyfora’s advanced weather intelligence solutions, including their state-of-the-art Telecom GNSS Meteorology solutions. Ugly Duckling Ventures led the funding round alongside LUMO Labs, and other investors included, among others, Voima Ventures and EIC Fund. Ugly Duckling Ventures is a venture capital fund based in Copenhagen, Denmark, that focuses on seed and pre-seed stage investments in Nordic ventures. Skyfora is a Finnish weather intelligence company that provides next-generation AI-powered weather forecasting and data collection solutions. Their innovative Telecom GNSS Meteorology solutions are designed for optimizing the performance of AI weather forecasts improving global climate change resilience and weather-insight across industries.

WithSecure  –  Sale of cyber security consulting business
We advised WithSecure Corporation in the sale of its cybersecurity consulting business to Neqst. WithSecure is a global cyber security company (listed on NASDAQ OMX Helsinki). Neqst is a Swedish investment firm, focusing on technology companies. The closing of the transaction remains subject to customary conditions and regulatory approvals.

Pernod Ricard – Sale of local Nordic beverage brands to Hartwall
We acted as Finnish counsel to Pernod Ricard in the sale of a portfolio of local Nordic brands to Oy Hartwall Ab, an affiliate of the Danish group Royal Unibrew. Pernod Ricard is a worldwide leader in the spirits and wine industry. The local portfolio of brands includes spirits, liqueurs and Finnish wine brands, the best-known being the liqueur Minttu, along with their related production assets based in Turku, Finland.

WithSecure – Sale of open source data collection product and business
We advised WithSecure Oyj in the sale of its open source data collection product and business to Patria Oyj. The divested business combining software and services falls outside WithSecure’s current strategy. Through the sale, WithSecure sharpens its focus on the Elements portfolio. WithSecure is a global cyber security company (listed on NASDAQ OMX Helsinki) with more than 35 years of industry experience. WithSecure offers partners flexible commercial models, ensuring mutual success across the dynamic cyber security landscape. Patria is an international company in the defence and security industry offering defence, security and aviation life cycle support services and technology solutions. As a result of the transaction, Patria will open a new office in Oulu and 10 WithSecure experts currently working in the business area will join Patria.

Andritz – Acquisition of Procemex
We advised Andritz Oy, a part of ANDRITZ group, with their acquisition of all the shares in Procemex Oy. The acquisition further strengthens ANDRITZ’s automation and digitalisation portfolio. Procemex is a global leader in integrated web monitoring and web inspection solutions for the pulp and paper industry. It has a team of more than 100 vision systems experts and has subsidiaries in Germany, Japan and the US. ANDRITZ offers a broad portfolio of innovative plants, equipment, systems, services and digital solutions for a wide range of industries and end markets. ANDRITZ is a global market leader in all four of its business areas – Pulp & Paper, Metals, Hydropower and Environment & Energy. Danfoss – Acquisition of certain converter technology from Ampner
We advised Danfoss Drives Oy, part of the Danish Danfoss Group, in its acquisition of the 1500 VDC converter technology from Ampner Oy. In connection with the acquisition, Ampner’s product team developing the 1500 VDC converter technology transferred to Danfoss Drives. Danfoss Drives is a global frontrunner in the growing field of electrification with solutions in key applications such as Power-to-X, smart grids and energy storage, fast charging, and electrification of ports and vessels.

A. Ahlström – Acquisition of majority of Metsäkonepalvelu
We advised A. Ahlström Corporation in its acquisition of the majority of Metsäkonepalvelu Oy.  This acquisition further strengthens A. Ahlström’s strategic core sector built around forest and fibre companies. A. Ahlström is a family-owned investment company with core investments in the forest and fibre segment. Metsäkonepalvelu offers mechanical timber harvesting services in Finland and Sweden and is a Nordic market leader. The Company’s customers include large companies in the forestry industry, large private forest owners and the public sector.
