I specialise in variety of telecommunications, technology, and IT-related transactions and have extensive experience in drafting service and technology-related outsourcing and transition agreements. I also support our M&A Team in technology-related transactions.

I worked close to 15 years in various in-house counsel roles in a major Finnish multinational company, so I am very familiar with the problems and challenges that our clients and their businesses face both domestically and in their cross-border transactions.

I take a very pragmatic approach in my advice and always seek to understand the technical and commercial underpinnings of each project. I firmly believe that our clients will greatly benefit from my in-house counsel mindset.

We successfully acted as the lead external counsel for Citycon Plc in an arrangement whereby Citycon outsourced its Nordic Accounting and Lease Administration operations and related workforce in Finland, Sweden, Norway, Denmark and Estonia to Staria Plc. The outsourcing is expected to take place as of 1 August 2024. With this outsourcing arrangement, Citycon aims to align the size and capabilities of the company’s finance organisation with its future development, ensuring it can adapt to meet the company’s needs at any given time. During the assignment, we assisted Citycon in drafting the necessary contract documentation and planning the contract negotiations and timetable. We led the outsourcing agreement negotiations and advised Citycon on employee transfer and data privacy related matters. We also coordinated legal advice for other in-scope countries. Citycon is the leading owner and developer of urban hubs in the Nordics and Baltics. Citycon’s 33 mixed-use, necessity-based centres are located in the major cities in Finland, Sweden, Norway, Denmark and Estonia. We advised Valio and Oddlygood in their acquisition of the Nordic brand and business Planti. Through the acquisition, Oddlygood becomes the owner of the Planti products and brand, as well as related intellectual property rights. Oddlygood becomes the market leader in plant-based dairy alternative spoonable snacks in Sweden and dairy alternative cooking products in Finland. Simultaneously, Oddlygood’s majority owner Valio acquires Planti’s production in Turku, including the employees at the site. Until the acquisition, the Planti brand was part of the Norwegian Kavli Group.

We assisted the Foundation for Student Housing in the Helsinki Region (Hoas) in its procurement of a cloud-based ERP system, which is delivered, implemented and maintained by Visma Real Estate Oy, a Visma Group company. With its new ERP system, Hoas aims to, inter alia, expedite and facilitate the selection of tenants and renting out apartments as well as the preparation and handling of different kinds of service requests. The ERP system has a central role in fulfilling the strategic goals of Hoas and managing its real estate portfolio. Hoas owns 10,300 apartments in the Helsinki region and has over 18,000 students as tenants. The Foundation for Student Housing in the Helsinki Region (Hoas) is a non-profit foundation founded in 1969. Hoas rents out, builds and maintains housing in the Helsinki region for students who are studying full time at schools of secondary and tertiary level education, as well as for international exchange students. Hoas works in cooperation with the student unions of the University of Helsinki and Aalto University, as well as 10 other university and polytechnic student unions. Visma Real Estate Oy is a Finnish software company operating in the real estate sector. It develops the Tampuuri software and helps its customers to digitalise their property management processes. Visma Real Estate has offices in six locations around Finland and employs some 100 experts in total, 28 of which focus on developing Tampuuri. In 2021, Visma Real Estate had a turnover of EUR 14.6 million.

We assisted Finnish Mutual Patient Insurance Company (FMPIC) in its procurement of a SaaS-based insurance platform. The procurement was conducted as a negotiation procedure with Swedish iFACTS Ab selected as the supplier of the platform. The new platform is expected to be launched already in autumn 2022. With the procurement of the insurance platform, FMPIC aims for better and more reliable management and processing of customer relations and insurance policies. The goal is to reduce the risks associated with managing customer relations and policies, to improve the data security and data protection of customer and insurance information and to meet regulatory requirements. FMPIC was assisted in the procurement and contract negotiations by our public procurement experts Johanna Lähde and Atte Andersin, Pia Ek and Miika Junttila from the data and technology team and by our insurance expert, Sami Lommi.
