Citycon – Outsourcing of finance activities related to Nordic Accounting and Lease Administration to Staria

We successfully acted as the lead external counsel for Citycon Plc in an arrangement whereby Citycon outsourced its Nordic Accounting and Lease Administration operations and related workforce in Finland, Sweden, Norway, Denmark and Estonia to Staria Plc. The outsourcing is expected to take place as of 1 August 2024. With this outsourcing arrangement, Citycon aims to align the size and capabilities of the company’s finance organisation with its future development, ensuring it can adapt to meet the company’s needs at any given time. During the assignment, we assisted Citycon in drafting the necessary contract documentation and planning the contract negotiations and timetable. We led the outsourcing agreement negotiations and advised Citycon on employee transfer and data privacy related matters. We also coordinated legal advice for other in-scope countries. Citycon is the leading owner and developer of urban hubs in the Nordics and Baltics. Citycon’s 33 mixed-use, necessity-based centres are located in the major cities in Finland, Sweden, Norway, Denmark and Estonia. Citycon transforms unique locations into sustainable communities and cities full of life, serving 140 million people each year and delivering long-term share value. Oddlygood and Valio – Acquisition of Planti

We advised Valio and Oddlygood in their acquisition of the Nordic brand and business Planti. Through the acquisition, Oddlygood becomes the owner of the Planti products and brand, as well as related intellectual property rights. Oddlygood becomes the market leader in plant-based dairy alternative spoonable snacks in Sweden and dairy alternative cooking products in Finland. Simultaneously, Oddlygood’s majority owner Valio acquires Planti’s production in Turku, including the employees at the site. Until the acquisition, the Planti brand was part of the Norwegian Kavli Group.

Foundation for Student Housing in the Helsinki Region (Hoas) – Procurement of ERP System

We assisted the Foundation for Student Housing in the Helsinki Region (Hoas) in its procurement of a cloud-based ERP system, which is delivered, implemented and maintained by Visma Real Estate Oy, a Visma Group company. With its new ERP system, Hoas aims to, inter alia, expedite and facilitate the selection of tenants and renting out apartments as well as the preparation and handling of different kinds of service requests. The ERP system has a central role in fulfilling the strategic goals of Hoas and managing its real estate portfolio. Hoas owns 10,300 apartments in the Helsinki region and has over 18,000 students as tenants. The Foundation for Student Housing in the Helsinki Region (Hoas) is a non-profit foundation founded in 1969. Hoas rents out, builds and maintains housing in the Helsinki region for students who are studying full time at schools of secondary and tertiary level education, as well as for international exchange students. Hoas works in cooperation with the student unions of the University of Helsinki and Aalto University, as well as 10 other university and polytechnic student unions. Visma Real Estate Oy is a Finnish software company operating in the real estate sector. It develops the Tampuuri software and helps its customers to digitalise their property management processes. Visma Real Estate has offices in six locations around Finland and employs some 100 experts in total, 28 of which focus on developing Tampuuri. In 2021, Visma Real Estate had a turnover of EUR 14.6 million.

Finnish Mutual Patient Insurance Company – Procurement of an Insurance Platform

We assisted Finnish Mutual Patient Insurance Company (FMPIC) in its procurement of a SaaS-based insurance platform. The procurement was conducted as a negotiation procedure with Swedish iFACTS Ab selected as the supplier of the platform. The new platform is expected to be launched already in autumn 2022. With the procurement of the insurance platform, FMPIC aims for better and more reliable management and processing of customer relations and insurance policies. The goal is to reduce the risks associated with managing customer relations and policies, to improve the data security and data protection of customer and insurance information and to meet regulatory requirements. FMPIC was assisted in the procurement and contract negotiations by our public procurement experts Johanna Lähde and Atte Andersin, Pia Ek and Miika Junttila from the data and technology team and by our insurance expert, Sami Lommi.

Finnish Customs – Tender for Number Plate Recognition and Video Analytics

We assisted Finnish Customs in its tender for an automatic number plate recognition system (ANPR) and related video analytics. The multi-year contract is worth EUR 2,9 million and will be supplied by Finnish Loihde Plc, an expert in digital development and security solutions. The new system will utili s e machine-based optical character recognition , which will significantly improve the recognition of number plates and containers. The Finnish Police and the Finnish Border Guard may also elect to use the new system under separate contracts.

F-Secure – Proposed separation of F-Secure’s Consumer Security business through a partial demerger

We act as legal advisor to F-Secure Corporation in the proposed separation of F-Secure’s Consumer Security business through a partial demerger. It is planned that the Consumer Security business will be transferred into a new independent company, to be named F-Secure Corporation and established in connection with the demerger, and which will be listed on the official list of Nasdaq Helsinki Ltd. The demerger is expected to become effective as of 30 June 2022. In connection with the demerger, F-Secure Corporation will retain its Corporate Security business, which is planned to be renamed as WithSecure Corporation. F-Secure Corporation (listed on the NASDAQ OMX Helsinki) is a global cyber security and privacy company with over 30 offices around the world and is headquartered in Helsinki, Finland.

9Lives Group – Acquisition of Stella Kotipalvelut

We advised first aid and ambulance service company 9Lives Group Oy when it acquired the entire share capital of Stella Kotipalvelut Oy. The acquisition is at the heart of 9Lives’ strategy and is driven by, among other things, the SOTE reform and the megatrend of population aging. ‘Stella is one of the leading players in home care and personal care in Finland. By combining our strengths and expertise, we will have an even stronger foothold in the market as well as a more comprehensive service network, and we will be able to offer high-quality and versatile care close to the customer competitively. In addition, as a Finnish-owned and entrepreneur-driven operator, we are able to react to market changes quickly, in a customer-oriented and reliable manner’, says Markus Ulfstedt , CEO and owner of 9Lives. 9Lives is Finland’s largest private company providing first aid and ambulance services. The clients of its ambulance services are public actors and medical institutions. The company has also lately become known with COVID-19. The company’s turnover in 2020 was approximately EUR 20 million and it employs 800 people. Stella Kotipalvelut Oy is a company specialising in home care services, with a turnover of EUR 24 million in 2020. The company employs 1,600 people, of whom 520 are permanent employees.

Tesseract – Investment Round

We assisted Tesseract Group Oy, the leading institutional digital asset lending company in Europe and emerging markets, in its USD 25 million Series A investment round. The first funding round in Europe focusing on the sector was led by Augmentum Fintech, a London-based FinTech investment company. Other participants in the round included global venture capital firms BlackFin Capital Partners, Concentric, DN Capital, Jabre Capital Partners Family Office, LeadBlock Partners, and Sapphire Ventures. Industry participants Coinbase Ventures, Wintermute, and Woorton also subscribed to the round. Grafton Group – Acquisition of IKH

We advised international building materials distributor and DIY retailer Grafton Group plc in its acquisition of Finnish Isojoen Konehalli Oy and Jokapaikka Oy (IKH). IKH is one of the largest workwear and personal protective equipment, tools, spare parts and accessories technical wholesalers and distributors in Finland. The consideration payable for IKH is EUR 199.3 million on a cash and debt-free basis. ‘The acquisition of IKH is an exciting development that gives Grafton a presence in Finland for the first time and broadens its market position. OP Financial Group – Outsourcing of ICT and Digital Services

We represented OP Financial Group in expanding its outsourced ICT and digital services delivery in partnership with CGI. Under the new agreement, CGI will be responsible for application development and delivery of a broad range of digital services for OP’s insurance operations. Since 2013, the partnership between CGI and OP has grown to include more than 600 CGI professionals working for OP. In addition to enhancing customer and employee experience, OP’s key goals are to drive value creation and cost-efficiency in the delivery of IT services.
