Hanza – Acquisition of Suomen Levyprofiili Oy

We advised Swedish company Hanza Holding Ab (publ) in its acquisition of Suomen Levyprofiili Oy. The deal is an important step in HANZA’s ongoing work to expand the group’s development clusters.

Suomen Levyprofiili Oy is a successful Finnish manufacturer of sheet metal mechanics. Suomen Levyprofiili has just over 100 employees and operates in a modern production facility in Joensuu, close to HANZA’s other factories in Finland. The sellers are investors connected to Finnish investment company Helmet Capital Oy.

HANZA is a knowledge-based global manufacturer that modernises and streamlines the manufacturing industry. HANZA was founded in 2008 and in 2020 had sales exceeding SEK 2 billion. The company has production units in seven countries: Sweden, Finland, Germany, Estonia, Poland, the Czech Republic and China. HANZA is listed on Nasdaq Stockholm’s main list.

HANZA will take over Suomen Levyprofiili immediately and will work to develop and integrate the factories in Finland in close collaboration with existing customers during 2021.

We advised Hopeasalmen Telakka Oy, part of Marina Group, on the acquisitions of Iisiveneily and Porvoon Venekorjaamo. The transactions form part of Marina Group’s expansion into the Finnish marina and boatyard sector, strengthening its position under the Quattro Marine brand. We acted as Finnish legal advisor to Delta Capacity in connection with its acquisition of the ready-to-build Karppio battery energy storage system (BESS) project from Helios Nordic Energy. The acquisition was made and the project will be implemented together with Strioga Family Foundation. The Karppio BESS project is located in Teuva, Finland, and has a capacity of 125 MW / 300 MWh. Delta Capacity will lead the remaining development of the project through to commissioning, planned for 2027, and will serve as long-term asset manager. Delta Capacity is a Swiss-based developer of utility scale battery storage systems. The acquisition adds to Delta Capacity’s growing Nordic portfolio.

We are acting as Finnish legal advisor to HANZA in connection with its acquisition of Fortaco Finland’s heavy mechanics and assembly business. The transaction is structured as a combined asset and share acquisition and includes Fortaco Finland’s heavy mechanics and assembly operations in Finland, as well as shares in two Estonian and two Polish subsidiaries. The transaction is expected to close during the fourth quarter of 2026, subject to customary closing conditions, including regulatory approvals. Founded in 2008, HANZA is a Swedish mechanical engineering and electronics contract manufacturing company listed on the Nasdaq Stockholm main list. HANZA has approximately 5,000 employees and annual sales of SEK 10 billion. We advise HANZA on this transaction in collaboration with the Swedish law firm Lindahl.

We advised Efima Oyj on the sale of its financial management services business to Rantalainen as part of its strategic focus on fully concentrating on the delivery of business applications as well as data and AI solutions. As a result of the transaction, customer contracts related to financial management services and 65 experts working in these services will transfer to Rantalainen. The transaction will be carried out as a transfer of business, and the experts will move to the new owner as existing employees. Efima is a Finnish digital company that supports the sustainable growth of large and mid-sized companies by streamlining their business processes and by creating competitive advantage through the innovative use of artificial intelligence and data. The company has nearly 200 experts based in Helsinki and Tampere.
