Citycon Outsourcing of finance activities related to Nordic Accounting and Lease Administration to Staria

We successfully acted as the lead external counsel for Citycon Plc in an arrangement whereby Citycon outsourced its Nordic Accounting and Lease Administration operations and related workforce in Finland, Sweden, Norway, Denmark and Estonia to Staria Plc. The outsourcing is expected to take place as of 1 August 2024.

With this outsourcing arrangement, Citycon aims to align the size and capabilities of the company’s finance organisation with its future development, ensuring it can adapt to meet the company’s needs at any given time.

During the assignment, we assisted Citycon in drafting the necessary contract documentation and planning the contract negotiations and timetable. We led the outsourcing agreement negotiations and advised Citycon on employee transfer and data privacy related matters. We also coordinated legal advice for other in-scope countries.

We assisted Fennia in the acquisition of an integrated insurance system from Salesforce and Accenture. Our Data & Technology service was closely involved in drafting the documentation and negotiating the agreements with Salesforce and Accenture. The new integrated system will include customer relationship management and insurance systems and will enable Fennia to reorganise its insurance business operations. This will make it possible to refocus the entire insurance process on the customer. ‘We have a huge job ahead of us to reorganise our business models, clarify our products and streamline our processes. This new integrated system will be built from scratch. Our choice of system is more flexible and adaptable than traditional insurance systems, which will give us the best foundation to create the best customer experience in our business’, says Fennia’s Chief Development Officer Patrik Serén . We assisted our client in a major project involving the reorganisation of operations and the implementation of an outsourcing plan. The plan related to changes in the business process of one of the client’s key businesses. The assignment involved planning, scheduling and implementing the change process, and our client was able to implement the change to the business process in a controlled manner and on schedule. Successfully handling this assignment required our team to have in-depth knowledge of employment and cooperation proceeding legislation, to be able to fully internalise our client’s business and goals to take a practical approach.

We advised Kemijoki Oy in the transformation of its operational model. In the new operational model, the company sources a significant part of its activities from contractual partners, including the operation and maintenance of hydroelectric power plants, environmental work and work based on legal obligations, financial administration, legal affairs and IT services. The simultaneous outsourcing of these major functions in a short time makes Kemijoki’s project one of the most important operational transformations in the Finnish industry in the recent years. Kemijoki is Finland’s most important producer of hydropower and regulating energy and the country’s foremost purchaser and expert of hydropower. The company owns twenty hydroelectric power plants with a total capacity of over 1,100 MW. It generates approximately a third of Finland’s hydropower.
