Creating a visual identity for ads, presentations, social media posts and newsletters is part of my day-to-day work. I also help our firm’s experts with their legal design problems.

I have a BBA and a degree in graphic design.

Fraktal – Legal design of terms of service

We drafted and designed new terms of service for Fraktal Oy’s DevSecLab learning platform. In this legal design project, we created a new, clearer structure for the terms of service, rewrote the terms from scratch and presented them with a fresh visual look. The final result was a completely new product, not just a redesign of the earlier terms. Fraktal’s goal was to have terms of service that are easy to understand and simple to accept. The project was carried out in our multi-professional legal design team consisting of experts in legal technology, linguistics, graphic design and the law. The new terms, which are both clear and in line with Fraktal’s visual brand, were presented as an interactive prototype in Figma. The key to successful legal design projects is understanding the client’s needs and wishes. In this project, efficient project management and an open line of communication increased our team’s understanding of the client, resulting in a product that fits the purpose perfectly. Active dialogue with the client was an important quality factor in this agile and iterative project. “Our previous terms of service were difficult to understand, which usually led to lengthy negotiations. This created an obstacle for increasing sales. We believe that the new, designed terms of service will increase sales, make the agreement process faster and reduce the need for administration and constant negotiations,” says Iiro Uusitalo, product owner of DevSecLab. “Implementing the new terms is currently Fraktal’s top priority.” Founded in 2019, Fraktal Oy is a young and agile cyber security company. Fraktal has served organisations with hundreds of assignments across the continents. In 2021 the company had a turnover of EUR 2 million and employed 25 people.

Finnish P&C Insurance – Design of Insurance Terms

We carried out a legal design project in which we designed insurance terms for Finnish P&C Insurance Ltd according to the client’s wishes. Legal design is all about multi-professional dialogue and cooperation. In this project, our team included experts in legal technology, the Finnish language, graphic design and the law. In line with the principles of legal design, the process was agile and iterative. In the first phase of the project, we delivered a prototype for commentary. The comments we received from the client enabled us to better address the client’s goals. The visual appearance of the final product was based on the client’s wishes and graphical guidelines. We kept the end-user in mind when designing the insurance terms – after all, user-centricity, or taking the target group’s needs into account, is one of the main principles of legal design. In addition to a legal review of the insurance terms, the goals for this design project included clarifying the terms and cutting down on legalese. During the project, the client’s initial draft was completely transformed. The end result was insurance terms in a compact, practical and clear format. Finnish P&C Insurance Ltd is a modern Finnish non-life insurance company that provides customised insurance services for the brands POP Insurance and Savings Bank Insurance. The digital aspect of the company was key from its foundation in 2012. The company currently has over 170,000 customers and more than 100 employees. Finnish P&C Insurance Ltd is owned by the financially sound POP Bank Group.

Lenders to ICEYE – EUR 300 million revolving credit facility for ICEYE

We advised an international bank syndicate in a EUR 300 million revolving credit facility (RCF) for ICEYE, the world leader in sovereign intelligence from space. The bank-syndicate comprised Nordic and global banks, with Citi and Danske Bank acting as Joint Global Coordinators and Mandated Lead Arrangers. The RCF will support the issuance of guarantees for customer contracts, enable continued business growth, and serve as a liquidity backstop.

Terrieri Kiinteistöt, A. Ahlström Kiinteistöt and S-Bank Building Plot non-UCITS Fund – Sale of a production and logistics property

We are advising Terrieri Kiinteistöt Ky and A. Ahlström Kiinteistöt Oy in the sale of a modern production and logistics building complex to Swedish property investment company Catena AB. We are also assisting S-Bank Building Plot non-UCITS Fund which in connection with the transaction, has agreed to sell the land area where the building complex is located to Catena AB. The building complex located in the immediate vicinity of Helsinki-Vantaa Airport was completed in 2021 and comprises approximately 23,260 square metres of leasable area, fully leased to Cramo Finland Oy. The approximately 140,000-square-metre plot offers additional long-term development potential in the form of approximately 45,000 square metres of additional building rights.

G&W Electric – Acquisition of Safegrid

We advised G&W Electric with its acquisition of Safegrid Oy, a leading provider of intelligent grid monitoring solutions based in Finland. The acquisition accelerates G&W Electric’s long-term strategy to integrate intelligent monitoring and predictive analytics into its power distribution portfolio, strengthening its offering to utility customers worldwide. Founded in 1905 and headquartered in Bolingbrook, Illinois, G&W Electric is a global leader in innovative power grid solutions, with a presence in over 100 countries. The company is known for advanced load and fault interrupting switches, reclosers, sensors, system protection equipment, power grid automation, intelligent grid monitoring, and transmission and distribution cable accessories. Safegrid is a Finnish technology company headquartered in Espoo, Finland. The company develops the Intelligent Grid System®, a grid monitoring solution that combines instant-on wireless sensors with advanced analytics to deliver real-time insight into grid conditions, enabling utilities to identify emerging issues, anticipate failures, and reduce outage duration across medium and high voltage distribution and transmission networks.

Kiwa – Acquisition of Sertio

We advised Kiwa in its acquisition of Sertio Oy, a Finnish notified body designated by the authority in accordance with the EU Regulation on in vitro diagnostic medical devices (IVDR). Sertio provides conformity assessment services in accordance with IVDR. Kiwa is one of the world’s leading testing, inspection, and certification companies, operating in over 35 countries.

Metsäkonepalvelu – Acquisition of Junnonen Forest and the business operations of Lamerit

We advised Metsäkonepalvelu Oy in its acquisition of the entire share capital of Junnonen Forest Oy, a Finnish timber harvesting services company, and the timber harvesting services business of Lamerit Oy. The acquisition supports Metsäkonepalvelu’s growth strategy and strengthens the company’s position, particularly in southeastern Finland. Metsäkonepalvelu is a portfolio company of A. Ahlström Oy, a Finnish family-owned industrial owner. The company provides mechanical timber harvesting services to forest companies, large private forest owners, and the public sector in Finland and Sweden. Metsäkonepalvelu Group employs nearly two hundred forestry professionals.

Scanreco – Acquisition of CrossControl

We acted as Finnish counsel to Scanreco in its acquisition of CrossControl. Mannheimer Swartling (Sweden) acted as lead counsel for Scanreco. CrossControl, founded in Sweden, is a high-tech supplier of advanced display computers and central vehicle computing solutions for industrial vehicles and machines. Scanreco is a world leading supplier of professional radio remote control systems to international machinery, heavy equipment, and crane manufacturers. The combined group comprises approximately 600 employees and generates annual revenue of around SEK 1.4 billion.
