We advised Finland-based Työttömyysvakuutusrahasto, The Unemployment Insurance Fund in relation to a EUR 400,000,000 credit facility agreement which Työttömyysvakuutusrahasto signed on 20 April 2017 with OP Corporate Bank plc, Nordea Bank AB (publ), Finnish Branch, Svenska Handelsbanken AB (publ), Branch operation in Finland and Swedbank AB (publ). The credit facility has a maturity of two years and the Finnish Government has granted a state guarantee of EUR 440,000,000 for the credit facility. The credit facility replaces the old credit facilities of Työttömyysvakuutusrahasto and it is aimed to ensure the financing of the benefit payments entitled to Työttömyysvakuutusrahasto.

Ålandsbanken – Consent solicitation process regarding T2 instruments and issue of SEK 350 million AT1 notes
We advised Ålandsbanken Abp in the consent solicitation process regarding its SEK 150,000,000 Tier 2 notes due December 2041 and SEK 200,000,000 Tier 2 notes due March 2043. The terms and conditions of the aforementioned instruments were amended by removing the write-down mechanisms in the consent solicitation process. In addition, we advised Ålandsbanken Abp on the issue of SEK 350 million Additional Tier 1 notes. The notes bear floating interest at the rate of STIBOR three months plus a margin of 3.35 per cent per annum. The AT1 notes were issued on 20 November 2025, and admitted to trading on the official list of Nasdaq Helsinki Ltd. The instrument has no maturity date and qualifies as Additional Tier 1 capital in accordance with the EU Capital Requirements Regulation. The issue strengthens Ålandsbanken’s capital structure by taking advantage of favourable market conditions.

Neste – EUR 500 million refinancing arrangement
We advised Neste Corporation on the refinancing of its EUR 500 million term facility by way of two EUR 250 million bilateral term facilities provided by OP Corporate Bank plc and Danske Bank A/S, Finland Branch. Each term facility has a maturity of three years with extension options.

Rabobank – Financing arrangement for Olana Energy
Castrén & Snellman acted as legal advisor to Coöperatieve Rabobank U.A. in its capacity as sole lender and hedging bank providing senior financing to Olana Energy for a Battery Energy Storage Systems (BESS) portfolio in Finland. Our advice included preparing a legal due diligence report on the projects as well as advising on the negotiation of the various finance and project agreements. Olana Energy is a management-owned fast-growing independent power producer with an international pipeline of over 1 GW. The diversified portfolio of assets ranging from 5 to 30 MW reinforces the Finnish grid at a granular level.

CapMan Real Estate – Acquisition of a High-Quality Residential Asset
We advised CapMan Real Estate in the acquisition and financing of a high-quality residential asset located in Katajanokka, Helsinki. The asset was acquired from the Finnish Seamen’s Service Bureau (MEPA). The property consisting of 38 modern rental apartments with a parking garage was completed in 2017. The building features high-quality construction, modern floorplans, and well-designed communal areas including a gym and rooftop sauna premises, and blends with the area’s historic maritime character.
