Rettig – Divestment of Alandia to UBV Alandia Holding

We advised Rettig Group in the divestment of its 24.9% stake in Alandia, a marine and yacht insurance company, to UBV Alandia Holding, a company owned by a consortium of investors including Bank of Åland, Veritas Pension Insurance, Viking Line, Lundquist Shipping Company Limited, Wiklöf Holding and the association Föreningen Konstsamfundet.

Alandia is one of the leading marine insurers in the Nordic and Baltic region. The company was a mutual insurance company until 2014. Rettig Group’s stake in Alandia originates from its earlier ownership of shipping company Bore, which was an insurance customer of Alandia and became a shareholder of the company as a result of the demutualisation of Alandia in 2014.

Rettig Group is a leading Finnish family-owned investment company that creates value for generations through active and responsible ownership. Its core investments are Alandia, eQ, Nordkalk, Purmo Group, and Terveystalo.

We are acting as legal advisor to VR-Group Plc in their strategic decision to sell their road logistics business to the investment company Mutares. This transaction supports VR’s focus on rail transport in freight traffic. The road logistics business, which generated a revenue of approximately EUR 80 million in 2023, will be transferred to a newly established company under Mutares. The business unit employs around 75 people who will transition to the new company. The completion of the transaction is subject to approval by the Finnish Competition and Consumer Authority.

We acted as Finnish counsel to Pernod Ricard in the sale of a portfolio of local Nordic brands to Oy Hartwall Ab, an affiliate of the Danish group Royal Unibrew. Pernod Ricard is a worldwide leader in the spirits and wine industry. The local portfolio of brands includes spirits, liqueurs and Finnish wine brands, the best-known being the liqueur Minttu, along with their related production assets based in Turku, Finland. The closing of the transaction remains subject to customary conditions.

The divested business combining software and services falls outside WithSecure’s current strategy. Through the sale, WithSecure sharpens its focus on the Elements portfolio. WithSecure is a global cyber security company (listed on NASDAQ OMX Helsinki) with more than 35 years of industry experience. WithSecure offers partners flexible commercial models, ensuring mutual success across the dynamic cyber security landscape. Patria is an international company in the defence and security industry offering defence, security and aviation life cycle support services and technology solutions. As a result of the transaction, Patria will open a new office in Oulu and 10 WithSecure experts currently working in the business area will join Patria.

We are acting as the lead counsel to Fortum in a cross-border transaction in which Fortum is selling its recycling and waste business. The business is sold to thematic impact investing firm Summa Equity through its portfolio company NG Group. The debt-free purchase price is approximately EUR 800 million. The transaction is subject to authority approval and customary closing conditions. Fortum’s recycling and waste business to be sold comprises municipal and industrial waste management and end-to-end plastics, metals, ash, slag and hazardous waste treatment and recycling services. These businesses are located in Finland, Sweden, Denmark and Norway and currently employ approximately 900 employees.
