We advised Governia Oy in the acquisition of House of Finland from the Russian Government. House of Finland is a multi-functional centre in the heart of St Petersburg, combining a cultural centre and a Finnish school with modern office premises.

The acquisition project was based on an intergovernmental treaty between Russia and Finland. Providing legal support with respect to the drafting and implementation of this intergovernmental treaty was a unique experience for our Finnish and the Russian teams. Our assistance was not limited solely to legal drafting, but we also managed to convince the Russian authorities to re-consider their current templates and practices in view of the complexity of the deal. We negotiated with the Russian federal and local authorities, handled the drafting and were generally responsible for all the legal and a number of the practical aspects of the project.

Gasum – Acquisition of NSR Biogas AB and Liquidgas Biofuels Genesis AB

We advised Gasum when it acquired 100% of the shares in NSR Biogas AB and the remaining 1/3 of the shares in Liquidgas Biofuels Genesis AB. Gasum has already been the majority owner of Liquidgas Biofuels Genesis AB since 2023 and is now acquiring full ownership. Gasum is a Nordic gas sector and energy market expert. Efima – Acquisition of Sparta Consulting

We acted as legal adviser to Efima Oyj in its acquisition of the entire share capital of Sparta Consulting Oy, a leading data management consulting firm. The acquisition strengthens Efima’s position as a strategic development partner for large and medium-sized enterprises and supports the company’s growth strategy and ability to meet the growing demand for intelligent, data-driven business solutions. Founded in 2012, Sparta Consulting specialises in comprehensive information management, and its clients are primarily large Finnish companies in the banking and insurance, energy, and telecommunications sectors. Efima Oyj is a Finnish digital company that promotes the growth of large and medium-sized enterprises by streamlining and automating business processes and creating competitive advantage through innovative use of artificial intelligence and data. The company has over 250 experts in Helsinki and Tampere.

Pihlajalinna – Sale of special housing services

We advised Pihlajalinna Plc on an arrangement whereby Pihlajalinna Terveys Oy and Ikipihlaja Setälänpiha Oy sold their special housing services business to Esperi Care Oy. The transaction involved three Pihlajalinna Uniikki units in Hämeenlinna, Lohja and Riihimäki as well as Ikipihlaja Oiva in Raisio. As a result of the arrangement, more than 100 employees transferred to Esperi. Pihlajalinna is one of Finland’s leading private providers of social and healthcare services, offering a wide range of services to both private and public sector clients. Pihlajalinna has more than 160 locations across Finland.

Milexia Group – Acquisition of business of Alpha Positron

We advised Milexia Group, a portfolio company of the French PE sponsor Crédit Mutuel Equity, on its acquisition of the activities of Alpha Positron Oy, a Finnish distributor specializing in GPS/GNSS, time and frequency solutions for the electronics industry, process automation, corporate IT, defense, and other demanding markets. Milexia Group is one of the world’s leading European suppliers for high-quality electronic components, systems and scientific instruments technology. It has offices, warehouses and technical centres in France, Italy, Spain, the United Kingdom, Germany, Nordics and Hong Kong. The acquisition aligns with Milexia’s strategy to expand its presence in the Nordic region and enhance its portfolio of communication solutions.
