SATO – Acquisition of SVK Yhtymä

Castren & Snellman is representing SATO Corporation in a transaction whereby SATO acquired the entire share capital of SVK Yhtymä Oy under an agreement signed on 1 April 2016. The transaction will result in the transfer of 1,255 rental homes mainly completed in the 2000s to SATO. In connection with the transaction, the parties agreed that the sellers will subscribe for shares in SATO in a directed share issue. The value of the acquisition is confidential.

SATO Corporation is a leading Finnish housing investment company. SATO holds a total of 23,600 rental homes in Finland’s largest urban growth centres and in St Petersburg. SATO Group’s net sales in 2015 totalled EUR 323.4 million, with an operating profit of EUR 196.5 million and a profit before taxes of EUR 159.4 million. SATO’s investment assets have a fair value of approximately EUR 2.8 billion.

We are acting as the lead counsel to Fortum in a cross-border transaction in which Fortum is selling its recycling and waste business. The business is sold to thematic impact investing firm Summa Equity through its portfolio company NG Group. The debt-free purchase price is approximately EUR 800 million. The transaction is subject to authority approval and customary closing conditions. Fortum’s recycling and waste business to be sold comprises municipal and industrial waste management and end-to-end plastics, metals, ash, slag and hazardous waste treatment and recycling services. These businesses are located in Finland, Sweden, Denmark and Norway and currently employ approximately 900 employees.
