Esperi Care – Acquisition of MediVida Oy’s business

We are acting as the legal advisor to Esperi Care Oy in its acquisition of a significant part of the shares in MediVida Oy’s subsidiaries. In the transaction, MediVida’s care and residential services, services for children and families as well as medical services business will be transferred to Esperi. The turnover of the acquired business is MEUR 30, and 700 employees will be transferred to Esperi. The transaction is pending the approval of the Finnish Competition and Consumer Authority. The transaction is expected to be closed in the beginning of 2017.

Esperi Care Group, founded in 2001, is the leading Finnish social care company that offers residential care services for the elderly, the disabled and those in rehabilitation. The Group collaborates with over 150 Finn-ish municipalities and has over 3,700 places for inhabitants all around Finland. The Group has a turnover of over EUR 160 million and employs over 4,000 people.

MediVida, founded in 2007, is a Finnish social and health care services company offering health and care services as well as services for children and families.

We advised Topfoods Oy, a Triton-backed Geia Group company, on its acquisition of Oy Delice Plus Ab, a Finnish supplier of cakes and pastries. Through the acquisition, Topfoods strengthens its retail business and further reinforces its position in the cakes and pastries segment. Founded in 2008, Topfoods supplies selected food products to professional kitchens, the retail sector, and the food industry.
