Tripla Mall – Project Financing for the Construction of the Mall of Tripla

Castrén & Snellman acted as legal advisor to Tripla Mall Ky in relation to the project financing for construction of the Mall of Tripla. A consortium consisting of the European Investment Bank (EIB), the Nordic Investment Bank, Danske Bank plc and Svenska Handelsbanken AB (publ) provided aggregate loans of approximately EUR 300 million for the project. The EIB’s loan is guaranteed under the European Fund for Strategic Investments (EFSI).  The overall value of the shopping mall and its parking facility is approximately EUR 600 million, including the cost of design, the plot and financing. Tripla Mall Ky is a joint venture between YIT Corporation, Etera Mutual Pension Insurance Company, Onvest Oy and Fennia Mutual Insurance Company.

The Mall of Tripla will be a near-zero energy building. New solutions for recycling, water treatment and waste processing will be utilised, enabling the constructors to apply for a Platinum-level LEED certification for the shopping mall once it is completed. The environmental aspect played a major role in the decisions of the investors, the lenders and the City of Helsinki.

The project is the cornerstone commencing a multi-billion euro urban development and renewal scheme for the Pasila area of Helsinki. The Mall of Tripla will be the largest shopping mall in Finland in terms of the number of retail spaces. It will also serve as an important transport hub thanks to a completely refurbished railway station and large parking facilities. The leasable floor area will be approximately 85,000 square metres for a total of 250 tenants and there will be parking space for 2,300 cars in the parking facility.

The mall and parking facility are expected to open for Christmas sales in 2019 together with the new Pasila railway station.

We advised Huhtamäki Oyj on its issuance of a EUR 300 million 6-year senior unsecured bond under the EMTN programme and on the tender offer of its EUR 500 million senior unsecured bond maturing in 2027. The new bond bears interest at a fixed rate of 3.875 per cent per annum. Huhtamäki used the net proceeds from the issuance of the new bond for the partial repurchase of its bond maturing in 2027 and for general corporate purposes.

We advised Aurevia Oy, a portfolio company of French private equity sponsor Mérieux Equity Partners, in a strategic reorganisation that involved splitting Aurevia and its parent companies into two independent groups of companies and reorganisation of its existing debt-financing arrangements. Following the reorganisation, the newly formed Aurevia continues as a leading provider of Contract Research Organization (CRO) and Quality Assurance and Regulatory Affairs (QARA) services, while the newly formed Labquality focuses on delivering External Quality Assessment (EQA) services. Aurevia serves operators in the medical devices, in vitro diagnostics and pharmaceutical sectors. Labquality’s customers include clinical laboratories and social and healthcare organisations. The reorganisation positions Aurevia and Labquality to allocate investments more effectively, accelerate growth within their respective customer segments, and respond to evolving market and client needs. The transaction was implemented through multiple parallel demergers and required comprehensive legal and tax structuring across several jurisdictions. Our team supported Aurevia throughout the planning and implementation phases, covering corporate, tax, employment law, and regulatory matters, as well as the optimisation of each group’s financing structure.

We advised CapMan Infra’s portfolio company Koiviston Auto Group, Finland’s largest bus operator, in a finance arrangement in which it completed an approximately EUR 300 million refinancing. The transaction consists of the refinancing of the Group’s existing senior debt and secures long-term growth financing to support the Group’s continued investments in its rapidly expanding electric bus fleet. The financing package has been provided by a group of lenders consisting of Nord/LB, ABN AMRO, Edmond de Rothschild, LBP AM and Siemens. The transaction strengthens Koiviston Auto’s funding base and provides significant flexibility to execute the company’s growth strategy focused on sustainable public transportation. CapMan Nordic Infrastructure I acquired Koiviston Auto in December 2021 to support its expansion and operational development. The Group now serves communities nationwide and is at the forefront of the transition to zero-emission public transport in Finland.
