We advised Atria Group in the sale of its Russian subsidiary LLC Pit-Product to Limited Liability Company Agricultural Complex Mikhailovskiy, which is a member of the Cherkizovo Group. Cherkizovo is Russia’s largest manufacturer of meat products and has been listed on the Moscow Stock Exchange since 2006.

LLC Pit-Product is a wholly owned subsidiary. Atria has owned the company since 2005. At the end of 2020, the company had approximately 700 employees. The company produces food products for the retail and food service channels and owns the Gorelovo and Sinyavino plants. The sale does not include Atria Russia’s subsidiary Sibylla Rus LLC, which engages in the fast food business in Russia.

The transaction is expected to close during the first half of 2021. The transaction is subject to the approval of the Russian Competition Authority.

We advised Sanok Rubber Company S.A. in connection with a transaction where the Polish International Development Fund 2 FIZ AN acquired 30% of the shares in Teknikum Group Ltd from Sanok Rubber Company S.A. Polish International Development Fund 2 FIZ AN is one of two specialised foreign expansion funds managed by PFR TFI. The fund’s aim is to co-finance foreign investments of Polish companies. We advised Sanok Rubber Company S.A. together with the Polish law firm Rymarz Zdort Maruta.

City of Pori – Sale of 49% stake in Pori Energia to Polhem Infra

Castrén & Snellman is acting as the legal advisor to the City of Pori in its sale of a 49% stake in Pori Energia to Polhem Infra. Pori Energia, a multi-utility company, operates in various sectors including district heating, electricity distribution, and electricity generation through CHP and renewable sources. The company also provides wind power services and industrial energy solutions in the Satakunta region. This strategic partnership between the City of Pori and Polhem Infra aims to enhance Pori Energia’s financial stability and investment capabilities, enabling the company to further its efforts in the energy transition and continue delivering high-quality energy services to its customers. Polhem Infra, owned by Swedish state pension funds, focuses on investments in critical infrastructure, including renewable electricity generation, energy storage, energy distribution, digital infrastructure, and transport infrastructure. The transaction values Pori Energia at EUR 905 million.

WithSecure – Sale of cyber security consulting business

We advised WithSecure Corporation in the sale of its cybersecurity consulting business to Neqst. WithSecure is a global cyber security company (listed on NASDAQ OMX Helsinki). Neqst is a Swedish investment firm, focusing on technology companies. The closing of the transaction remains subject to customary conditions and regulatory approvals.

Oomi – Transfer of KSS Energia’s electricity sales contracts for consumer and business customers to Oomi

We are advising Oomi Oy in a business transaction whereby KSS Energia Oy’s consumer and business customers in the retail sale of electricity will be transferred to Oomi. The transfer is scheduled to take place in March 2025. The arrangement requires approval from the Finnish Competition and Consumer Authority. Oomi Oy is one of the largest energy service companies and electricity sellers in Finland. The arrangement is a result of the recent development of the electricity market and Oomi’s strategy, which aims to offer customers a seamless and improved digital customer experience.
