We acted as Finnish counsel for AAF Europe in its acquisition of Dinair Group AB and its related subsidiaries in Finland and other jurisdictions.

The acquisition of Dinair Group enables AAF International and Dinair jointly to develop the Nordic market by delivering innovative high performance filtration products.

Dinair is one of the Nordic region’s largest manufacturers and suppliers of air filters. The company employs over 350 employees and operates its own manufacturing and product development. Dinair is based in Vadstena, Sweden, with sales offices and warehouses located in Stockholm, Gothenburg, Malmö, Oslo, Helsinki and Riga.

AAF International, based in Louisville, Kentucky, is the global market leader in air filtration and is owned by the Japanese company Daikin, a world leader in heating pumps and air conditioning. AAF International has more than 5,400 employees, 22 manufacturing facilities, and six R&D centers worldwide.

We represented Vapaus Group, a leading provider of employee bicycle benefit services, in its cross-border acquisition of Azfalte, a French corporate bicycle solutions company. We advised Wise Group AB (publ) in its sale of all shares in Wise Group’s Finnish subsidiary Wise People Group Oy (“WPG”) to Tetos Oy. The sale involves the divestment of Wise Group’s Finnish operations, and the purpose for the transaction is Wise Group’s ongoing streamlining of its operations, with a focus on the Swedish market. Wise Group’s companies specialise in recruitment, consultant hiring, HR consulting and leadership development. Wise Group is listed on Nasdaq Stockholm’s Small Cap list, with offices in Stockholm, Gothenburg, Malmö and Helsinki.

We are acting as the joint legal advisor to Oomi Oy and Lumme Energia Oy in a transaction whereby Lumme Energia will merge with Oomi. As from the completion of the merger, the combined entity will be the largest electricity retail and service company in the Finnish market. In 2024, Oomi reported a turnover of EUR 373.9 million and had approximately 110 employees. Lumme Energia’s turnover for the same year was approximately EUR 314.6 million and it had approximately 50 employees. The transaction is primarily driven by the recent developments in the electricity market and the strategic goal to develop competitive products and services. Another key objective is to further enhance the customer experience, which is a shared value between the two companies. As a result of the merger, Lumme Energia’s customers will transfer to Oomi, and Lumme Energia will become one of Oomi’s shareholders. The completion of the transaction is subject to an approval by the Finnish Competition and Consumer Authority.

We advised the shareholders of ParkMan Oy in the arrangement whereby Norwegian investment company Hawk Infinity and Armada Credit Partners invested in ParkMan enabling ParkMan’s accelerated growth. ParkMan is a parking solutions and management software company that provides a digital parking application for consumers and businesses operating in Finland, Denmark, Lithuania, and Estonia. ParkMan is based in Helsinki, Finland. Hawk Infinity, based in Oslo, Norway, is one of the largest and fastest growing Nordic software compounders with a long-term, growth-oriented investment approach. Hawk Infinity focuses on investing in founder-led companies and scaling them through add-on acquisitions and organic growth, while preserving existing management and culture. Since its establishment in 2008, Hawk Infinity has grown into a multi-vertical SaaS group by acquiring and scaling niche software businesses across Europe.
