Prior to graduation, I worked at Castrén & Snellman as a trainee for several years, assisting in a wide array of transactional matters.

We assisted Finnish Climate Fund in junior financing to the shipping company Meriaura for their fleet renewal programme to support the adoption of low-carbon shipping solutions. Meriaura has commissioned two bio-oil-powered hybrid cargo ships with a tonnage of 6,750 from the Royal Bodewes Shipyard in the Netherlands. The ships can achieve emissions reductions of up to 98 % compared to traditional cargo ships powered by fossil fuels. In the emission-intensive freight industry, more efficient vessels powered by renewable fuels have the potential to lead the way to emissions reductions across the sector. Meriaura is a Turku-based maritime shipping company that specialises in the sea transportation of industrial products, raw materials as well as demanding special cargo. The company’s cargo ships operate in Europe, mainly in the Baltic and North Sea. The Finnish Climate Fund is a Finnish state-owned special-assignment company. Its operations focus on combating climate change, boosting low-carbon industry and promoting digitalisation. By the end of December 2023, the Climate Fund has made 24 investment decisions totalling 178.9 million euros.

We acted as the legal and ESG advisor to Mérieux Equity Partners on the acquisition of a majority stake in Labquality through a leveraged buyout by its buyout fund, Mérieux Participations 4. Existing shareholders of Labquality, including Cor Group and the management, will reinvest a portion of their proceeds into the company in connection with the transaction. Headquartered in Helsinki, Finland, Labquality is a Nordic player specialized in EQA, CRO activities and regulatory affairs, with a strong local presence in Central and Eastern Europe. The company provides a comprehensive array of services for the healthcare, medical technology, and pharmaceutical industries. The company, employing over 120 professionals and supported by a network of more than 150 external experts and consultants across its offices in Finland, Germany, and Poland, serves a diverse clientele of over 8,000 customers, including major pharmaceutical companies in over 60 countries. Mérieux Equity Partners (MxEP) is an AMF-accredited management company dedicated to equity investments in the Healthcare and Nutrition sectors. MxEP actively supports entrepreneurs and companies with differentiated products and services, giving them privileged access to its sector expertise and international network. The transaction will enable Labquality to pursue its buy & build strategy in Europe to accelerate its CRO activities while continuing strong and recurring growth in the EQA segment. Labquality will benefit from MxEP’s sector expertise and financial resources to achieve its ambition of becoming a leading European CRO and EQA platform, with fully integrated regulatory consulting capabilities to serve major customers across Europe.

We were the legal adviser in three arrangements for the financing of the acquisition of three new ultra-green hybrid ro-ro vessels in the Eco class (Finneco I, II and III) by Finnish shipping company Finnlines Plc. The Chinese shipyard China Merchants Jinling Shipyard (Jiangsu) delivered Finneco I to Finnlines on 28 April 2022, Finneco II on 30 May 2022 and the third and last of three hybrid ro-ro vessels, Finneco III on 6 June 2022. The ships are 238 metres long, each with a cargo capacity of 5,800 lane metres. Consequently, the vessels can carry 400 trailers per voyage. The hybrid ro-ro vessels provide an increase of cargo intake up to 38%, but they reduce CO2 emissions by almost 43%. The three vessels represent another move towards sustainable shipping as they are energy-efficient. Energy saving is the best way to reduce the emissions. The vessels have the highest Finnish/Swedish ice class. “Part of Finnlines’ EUR 500-million Green Newbuilding Programme, Finnlines introduced three new Eco-class hybrid ro-ro vessels in 2022. The three giant vessels operate in the Baltic–North Sea–Bay of Biscay service. With state-of-the-art technology they do not only offer economies of scale to our customers, but the environmental footprint will also be reduced. Finneco vessels provide added value to Finnlines and its customers”, says Tom Pippingsköld, President and CEO, Finnlines.
