We are acting as legal advisors to Helsinki Deaconess Institute Foundation (HDL), the majority shareholder, in the sale of its shares in Diacor terveyspalvelut Oy to Terveystalo. HDL will subscribe for Terveystalo shares and, thus, become a major shareholder in Terveystalo, which is sponsored by private equity house EQT. As part of the transaction, minority shareholders LähiTapiola Keskinäinen Vakuutusyhtiö and LähiTapiola Keskinäinen Henkivakuutusyhtiö will also sell all of their Diacor terveyspalvelu Oy shares to Terveystalo.
We represented HDL extensively in the Diacor transaction and in relation to its reinvestment in Terveystalo. HDL’s goal for the merger is to increase the value of its assets and that way ensure that they achieve their strategic goals.
The transaction is pending clearance by the Finnish Competition and Consumer Authority.
